VERLOO may operate through different divisions, brands, services or trading activities.

Unless expressly stated otherwise, the contracting legal entity is VERLOO Limited.

2. Application of These Terms

These are VERLOO's General Terms.

Additional or service-specific terms may apply to particular products, services, transactions, assignments, orders or contracts.

Where specific written terms are agreed, they apply alongside these Terms and prevail to the extent of any inconsistency.

Nothing in these Terms excludes or restricts rights that cannot lawfully be excluded.

3. Enquiries and Requests

Submitting an enquiry, request, application, registration or quotation request does not itself create a contract or confirmed booking.

VERLOO may request additional information before accepting a request or providing a quotation.

4. Quotes and Estimates

Quotes and estimates may be based on information you provide about your requirements.

This may include:

Scope Location Size Quantity Condition Access Frequency Specification Timing Additional Requirements

Unless expressly stated otherwise, an estimate represents our reasonable assessment based on the information available at the time.

A quotation may specify how long it remains valid.

5. Accuracy of Information

You are responsible for providing reasonably accurate and complete information relevant to your request.

If actual circumstances materially differ from information used to prepare a quotation or arrange a service, this may affect:

Scope Price Labour Materials Availability Specification Timescale

Where reasonably practicable, VERLOO will explain material differences and obtain agreement before undertaking materially additional chargeable work.

6. Contract Formation

A contract is formed when VERLOO accepts your order, booking or request and confirms the applicable arrangements.

Confirmation may be provided by:

Email Telephone Electronic System Message Written Agreement Other Agreed Method

You should check confirmation information and promptly notify VERLOO of any errors.

7. Prices

The applicable price will normally be stated in the accepted quotation, order, booking or agreement.

Where applicable, VERLOO will indicate whether VAT is included or payable separately.

Changes requested after confirmation may result in additional charges.

We will normally obtain appropriate agreement before undertaking materially additional chargeable work.

8. Payment

Payment terms will be stated in the applicable:

Quotation Order Contract Invoice

You must pay valid amounts by the stated due date.

Where legally and contractually permitted, VERLOO may suspend further services relating to materially overdue payments after appropriate notice.

9. Customer Responsibilities

Where relevant, you must:

  • Provide reasonably accurate information
  • Provide appropriate contact and delivery/service details
  • Provide safe and reasonable access
  • Disclose known hazards or material restrictions
  • Provide necessary instructions
  • Obtain required permissions
  • Identify relevant fragile, valuable or specialist property
  • Cooperate with reasonable service requirements
  • Pay agreed charges when due

Failure to provide required information, cooperation or access may result in delay, cancellation or reasonable additional charges where legally and contractually permitted.

10. Products and Services

VERLOO will provide applicable services with reasonable care and skill and supply goods in accordance with applicable contractual and statutory requirements.

The precise scope, specification, quantity and other requirements may be stated in the relevant:

Quotation Order Booking Contract Service Description

Customers should review applicable documentation carefully.

11. Changes to Scope

Either party may request changes to an agreed product or service arrangement.

Changes affecting:

Scope Quantity Labour Materials Specification Timing Price

may require a revised quotation, order or contractual variation.

Material additional work should be agreed before proceeding where reasonably practicable.

12. Delivery, Appointments and Service Dates

Where a delivery, appointment or service date is agreed, VERLOO will make reasonable efforts to meet it.

Circumstances outside our reasonable control may cause delay or require rescheduling.

Where a material delay occurs, we will endeavour to communicate appropriately.

13. Contractors, Suppliers and Service Providers

Where appropriate, VERLOO may use:

  • Employees
  • Workers
  • Contractors
  • Subcontractors
  • Suppliers
  • Business partners
  • Specialist service providers

to fulfil its obligations.

Use of another provider does not, by itself, remove VERLOO's contractual responsibilities for products or services VERLOO has agreed to provide.

14. Cancellations and Rescheduling

If you need to cancel or reschedule a confirmed service, please notify VERLOO as early as reasonably possible.

Where cancellation occurs at short notice and VERLOO has reasonably incurred costs or committed staff, contractors, equipment, stock or other resources, a cancellation charge may apply where properly disclosed or contractually agreed.

Applicable statutory consumer cancellation rights remain unaffected.

15. Consumer Cancellation Rights

If you are a consumer entering into a qualifying distance or off-premises contract, you may have statutory cancellation rights.

For many service contracts, this may include a 14-day cancellation period, subject to applicable statutory conditions and exceptions.

If you expressly request that services begin during an applicable cancellation period, you may be required to pay an appropriate amount for services supplied before cancellation.

Different statutory rules and exceptions may apply to certain goods, personalised products, perishable products and other categories.

Nothing in these Terms removes or restricts statutory consumer rights.

16. Cancellation or Suspension by VERLOO

VERLOO may reasonably refuse, cancel or suspend an order or service where necessary because of:

  • Unsafe conditions
  • Unlawful instructions
  • Material non-payment
  • Material contractual breach
  • Failure to provide required access or information
  • Abusive or threatening conduct
  • Inability to provide the relevant product or service
  • Circumstances outside our reasonable control

Where appropriate, reasonable notice will be provided.

17. Applications and Registrations

Submitting an application, registration or expression of interest does not automatically:

Guarantee Acceptance Guarantee Work Guarantee Availability Create Employment Create a Contractual Relationship

Additional checks, agreements or requirements may apply before VERLOO enters into a particular relationship.

18. Goods

Where VERLOO supplies goods, the relevant order, product description or agreement should identify applicable:

Product Quantity Price Specification Delivery/Collection

Product availability may change.

Any applicable product-specific instructions, restrictions or legally required information should be followed.

Mandatory statutory consumer rights remain unaffected.

19. Care of Property and Insurance

VERLOO will take reasonable care when handling customer property, goods, belongings, vehicles, equipment or other items entrusted to us in connection with our services.

Where applicable, personnel carrying out work will be expected to follow appropriate handling, operational and safety procedures relevant to the service being provided.

VERLOO will maintain insurance required by law and any additional insurance applicable to the services we provide. Details of relevant insurance cover may be provided on reasonable request.

Customers must notify VERLOO in advance of any unusually high-value, fragile, specialist, sensitive or irreplaceable items or property that may require special handling or protection.

This may include, where relevant:

Jewellery Cash Important Documents Artwork Antiques Collectibles Specialist Equipment High-Value Personal or Business Property

Certain items, circumstances or types of loss may be subject to exclusions, conditions or limits under applicable insurance policies.

Customers should therefore disclose relevant high-value, fragile or specialist items before work begins so that any necessary arrangements can be considered.

Nothing in this section excludes or restricts VERLOO's liability where doing so would be unlawful or affects any statutory rights available to consumers.

20. Complaints

If you are dissatisfied with a VERLOO product or service, please notify us promptly.

Email: info@verloo.co.uk
Telephone: +44 7784 656685

Please provide sufficient information for us to investigate the matter.

Depending on the circumstances and your applicable legal rights, an appropriate remedy may include:

Correction Re-performance Repair Replacement Refund Other Appropriate Resolution

Nothing in this section limits mandatory statutory remedies.

21. Liability

Nothing in these Terms excludes or restricts liability where doing so would be unlawful, including liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Other liability that cannot legally be excluded

Nothing in these Terms restricts mandatory consumer rights.

Specific business-to-business agreements may contain additional reasonable liability provisions appropriate to the relevant transaction.

22. Events Outside Our Reasonable Control

VERLOO will not be responsible for failure or delay caused by circumstances genuinely outside our reasonable control to the extent permitted by law.

We will take reasonable steps to minimise material disruption where practicable.

23. Data Protection

VERLOO processes personal information in accordance with applicable UK data protection law and our Privacy Policy.

Where you provide another person's personal information to VERLOO, you should ensure that you are entitled to provide it.

24. Confidentiality

Where either party receives confidential information through a commercial relationship, that information should not be misused or disclosed except:

  • Where necessary to perform the contract
  • With appropriate authorisation
  • To professional advisers where appropriate
  • Where required by law

25. Intellectual Property

Pre-existing intellectual property remains the property of its existing owner.

Ownership or licensing of intellectual property created specifically as part of a service will be determined by the relevant quotation, agreement or service-specific terms.

Payment for a product or service does not automatically transfer all intellectual-property rights unless expressly agreed or required by law.

26. Electronic Communications

VERLOO may provide quotations, confirmations, approvals, invoices and other communications electronically, including through:

Email Website/Portal Electronic Forms SMS Agreed Messaging Services

You are responsible for providing accurate contact information and keeping it reasonably up to date.

28. Changes to These Terms

VERLOO may update these Terms prospectively to reflect changes in our business, products, services, operations or applicable requirements.

Changes will not retrospectively alter an existing contract unless lawfully agreed or otherwise permitted.

29. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue to apply to the extent legally possible.

30. Third-Party Rights

Unless expressly stated otherwise, a person who is not a party to the relevant contract has no right to enforce its terms under the Contracts (Rights of Third Parties) Act 1999.

31. Governing Law

These Terms and applicable contracts are governed by the laws of England and Wales, subject to mandatory consumer rights concerning applicable law and jurisdiction.

For business-to-business contracts, the courts of England and Wales will have jurisdiction unless otherwise agreed in writing.
